The Position
The Manager of Finance will be a trusted contributor of the Finance team. Within the team, the Manager of Finance will work on acquisition and integration processes from initial valuation through post-close integration. This includes but is not limited to creating or assisting with valuations, initial business diligence, quality of earnings review, letters of intent, purchase agreements, employment contracts, equity/debt financing and funds flows. The Manager will work closely with all departments within CareVet, including the Business Development, Operations, Marketing, Accounting, People & Culture, and IT teams, to successfully create valuations used in the acquisition and integration of veterinary hospitals.
Specific Responsibilities
• Assist in the entire acquisition and integration process, including supporting the efforts of business development, operations, marketing, finance and external consultants and service providers to close and integrate target practices successfully.
• Participate in the valuation process of targets using historic and forecasted financial information, synthesizing inputs from the CareVet leadership team and other relevant sources.
• Help identify synergy opportunities for prospective targets.
• Provide insights to Finance and Accounting teams to develop anticipated post-close revenue and EBITDA targets based on diligence work.
• Responsible for overseeing thethe due diligence process by:
• Identifying unusual items that should be reviewed as part of the quality of earnings report.
• Attending calls with external consultants on quality of earnings and communicating to impacts/findings to stakeholders.
• Enhancing the Acquisitions and Integrations Playbook to standardize and streamline the process.
• Review due diligence materials provided by target and ensure support is adequate for accounting records.
• Assist the Accounting team by:
• establishing opening balance sheets with fair value measurements, including but not limited to allocating purchase price correctly and properly identifying tangible and intangible assets.
• determining the stub period financial statements if mid-month close applies.
• Assisting with post-close performance verification to ensure team is achieving pro forma expectations.
• Helping with any audit and/or tax requirements as necessary.
Qualifications & Experience
• Bachelor’s Degree required; CPA certification preferred
• Master’s Degree in Accounting or Finance preferred
• 5-7 years’ experience in accounting or finance related role; experience with mergers and acquisitions preferred.
• Highly skilled in Excel spreadsheets and other accounting software; Use of QuickBooks and other middle-market ERP packages preferred
• Excellent communication (written and verbal) skills
• Strong customer service and organizational skills
• High integrity, excellent work habits, including a willingness to work the hours necessary to complete a task or project, especially when important deadlines cause greater than normal pressure
